In 2025, the Board of Management of ÖBB-Holding AG consisted of two people – Andreas Matthä and Manuela Waldner – who ensure proper management in their roles with due care and diligence. In doing so, they pursue a corporate group strategy that takes into account both the interests of the Republic of Austria, as the owner, and those of the employees. Experience relevant to the sectors, products and geographical locations Mag. Manuela Waldner studied business administration at the University of Graz and started her professional career in a civil engineering office for underground engineering. After working for an auditing and tax consulting firm, she moved to the consulting firm Boston Consulting Group Austria. She worked there from 2009 to 2023 in various positions (with a focus on the rail and industrial sectors) and from 2019 in the roles of Managing Director and Partner. She has been Chief Financial Officer (CFO) and a member of the Board of Management of ÖBB-Holding AG since July 2023. In 2025, she also served as Chairwoman of the Supervisory Board of ÖBB-Infrastruktur AG and ÖBB-Business Competence Center GmbH. ESRS 2.GOV-1.21.c, 22.a, c; ESRS G1.GOV-1.5.a, b Andreas Matthä joined ÖBB after graduating from the Federal Institute of Technology in 1982. After working in the Vienna construction management department for bridge and civil engineering, he was responsible for the maintenance of bridge construction throughout Austria in the General Directorate from 1986. In 2002, he graduated from the Vienna University of Applied Sciences of WKW with a degree in corporate management. In 2005, Matthä became an authorized signatory and Head of Controlling and Finance at ÖBB-Infrastruktur Bau AG. From 2008, he served as the member of the Board of Management responsible for Facilities at ÖBB-Infrastruktur AG and from 2009 as the Board of Management member for Finance, Market and Service. Andreas Matthä has been Chief Executive Officer (CEO) of ÖBB-Holding AG since July 2016. In 2025, he was also Chairman of the Supervisory Board of ÖBB-Personenverkehr AG and Rail Cargo Austria AG as well as Deputy Chairman of the Supervisory Board of ÖBB-Business Competence Center GmbH. From 2019 to the end of 2025, Andreas Matthä was also President of the Association of European Railway and Infrastructure Companies (CER).
